Would let him retire at my club and then I would sign him as a coach or scout as I bet his attributes would be awesome as a coach. No amount would tempt me to sell him he's simply thee best. If that 40M will make your team better then go for it. On FM10 I sold Giorgio Chiellini in my second season at Juventus for only 30M.
